Albany Software Limited - Licence Agreement

You should carefully read the following terms and conditions. Registration of the Program with Albany Software Limited indicates your acceptance of them. If you do not agree with them, you should return the complete package and your money will be refunded.

Albany Software Ltd provided this program and licences its use to you. You are responsible for selecting the Program to achieve your intended results and for the installation, use and results obtained from the Program.

The Program Is a proprietary product of Albany Software Limited and Is protected by copyright laws. Title to the Program, or any copy, modification of merged portion of the Program shall at all times remain with Albany Software Limited.

1. LICENCE

You may:

1. Use the program on a single machine. The program may be transferred to and be used on another machine.
2. Make one copy of the program into any machine readable form for backup or modification purposes in support of your use of the Program on a single machine.
3. Modify or merge the Program into another program for use on a single machine. Any portion of the Program merged into another program for use will continue to be subject to the terms and conditions of this Licence. You must reproduce and include the Copyright notice on any copy, modification or merged portion of the Program.
4. Transfer the Program together with this Licence to another party, but only if the other party agrees to accept the terms and conditions of this Agreement and signifies such agreement by completing and returning to Albany Software Limited a registration card in such form as Albany Software Limited may prescribe from time to time with 14 days after the date of such transfer. If you transfer the Program and Licence, you must at the same time either transfer all copies, modifications or merged portions of the Program to the same part or destroy those not transferred and you must notify Albany Software Limited of such transfer. Any such transfer terminates your Licence.

YOU MAY NOT:

1. Transfer or rent the Program or use, copy, modify or merge the Program, in whole or in party, except as expressly permitted in this licence.
2. Decompile, reverse or assemble or reserve engineer the Program.
3. Reproduce, distribute or revise the Program documentation.

If you do any of the foregoing your licence and this Agreement are automatically terminated, such termination shall be In addition to and not In lieu of any criminal, civil or other remedies available to Albany Software Limited.

2. TERM

You may terminate your Licence and this Agreement at any time by destroying the Program and Program documentation together with all copies in any form. They will also terminate automatically if you fail to comply with any term or condition of this Agreement, in which event you agree to destroy the Program together with all copies in any form, and to provide us upon our request with written certification of such destruction.

3. LIMITED WARRANTY

Except as specifically stated In this Agreement, the Program is provided and licensed "as Is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

Albany Software Limited does not warrant that the functions contained in the Program will meet your requirements or that the operation of the Program will be either error free or appear precisely as described in the Program documentation.

Albany Software Ltd warrants that the diskette on which the Programs is furnished will be free from defects in materials and workmanship under normal use for a period of six months from the date of delivery to you.

4. LIMITATION OF REMEDIES AND LIABILITY

The remedies described below are accepted by you as your only remedies, and shall be available to you only if you have completed registation within ten days of software delivery.

Albany Software Limited entire liability and your exclusive remedies shall be:

1. If the Program does not substantially perform the functions or generally perform to the Program's specifications published by Albany software Limited you may within 6 months after delivery write to Albany Software Limited to report a significant defect. If Albany Software Limited is unable to correct that defect within 90 days after receiving your report, you may terminate your Licence and this Agreement by returning the Program with your original receipt and your money will be refunded.
2. If the program diskette is defective, you may return it with a copy of your receipt and Albany Software Limited will either replace it or, if a replacement cannot soon be delivered, you may terminate your Licence and this Agreement by returning the rest of the Program and your money will be refunded.

In no event will Albany Software Limited be liable to you for any damages, including lost profits, lost savings, or other incidental or consequential damages arising out of the use or inability to use the program, even if Albany Software Limited or any Albany Software Limited dealer has been advised of the possibility of such damages.

Notwithstanding the foregoing provisions hereof Albany Software Limited does not exclude liability for death or personal injury to the extent only that the same arises as a result of the negligence of Albany Software Limited, its employees, agents or authorised representatives.

5. GENERAL

This agreement will be governed by and construed in accordance with the laws of England
and Wales.
